Should any service provided or offered be interpreted as falling under the provisions of the Real Estate Agents Law 71 (I), as amended from time to time, please be informed that such service is exclusively provided or offered by E.T. Life Realty, a duly Licensed Real Estate Agent, with Registration No. 1234 and License No. 603/E.

Indemnification Clause:

By accessing and using the Realty.com.cy platform, you agree to indemnify and hold RimaTech Limited, its directors, officers, employees, and affiliates harmless from any claims, demands, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the platform, your violation of these Terms and Conditions, or your violation of any rights of a third party.

Dispute Resolution:

We value transparency and fair resolution of disputes. RimaTech operates under The Real Estate Agents Law 71 (I) as amended in 2017, and it is important to note that RimaTech is not a Licensed and Registered Real Estate Agent as defined by the Law. This means that while RimaTech facilitates the listing of properties, it does not perform real estate agency services or engage in property transactions on behalf of users.

The property listings on our platform are provided directly by users of the platform. Users contribute information, including:

In these Terms and Conditions, the following terms shall have the meanings assigned to them unless the context requires otherwise:

"RimaTech," "we," "us," "our": Refers to RimaTech Limited, the operator of the Realty.com.cy platform.
"Platform": Refers to the Realty.com.cy website and the associated services provided by RimaTech.
"Cabinet": Refers to extended functionality available to users registered to use the platform.
"User," "you," "your": Refers to any individual or entity accessing or using the Realty.com.cy platform.
"Users": Refers to other users, excluding the individual addressed as "you" or "your."
"Property": Refers to any real estate listing, including but not limited to properties for sale, rent, or lease, as listed on the Realty.com.cy platform.
"Licensed Real Estate Agent": Refers to individuals or entities that hold valid licenses and registrations as real estate agents under the provisions of The Real Estate Agents Law 71 (I), as amended in 2017, in the Republic of Cyprus.
"User-Generated Content": Refers to any content, including text, images, videos, and other materials, provided by users for listing properties on the platform.
"Listing": Refers to the property information and details provided by users for display on the Realty.com.cy platform.
"Listing User": Refers to a user who has uploaded a listing or multiple listings on Realty.com.cy platform.
"Third-Party Services": Refers to services provided by external entities or individuals not directly affiliated with RimaTech, but accessible through links, advertisements, or other means on the platform.
"Terms and Conditions": Refers to this agreement, which outlines the terms of use for the Realty.com.cy platform.
"Privacy Policy": Refers to the policy that governs the collection, use, and protection of user data on the Realty.com.cy platform.
"Intellectual Property": Refers to copyrights, trademarks, patents, trade secrets, and any other intellectual property rights existing under the laws of any jurisdiction.

3. User Registration

Eligibility criteria

To access and use the services offered on the Realty.com.cy platform, you must meet the following eligibility criteria:

You must be at least 18 years of age or the legal age of majority in your jurisdiction.

Account Security

You are solely responsible for the security of your account and any activities that occur under your account. If you suspect unauthorized access to your account or any other security breach, you must notify RimaTech immediately.

RimaTech reserves the right to suspend or terminate your account if you violate any of the obligations and responsibilities outlined in this section.

Indemnification

You agree to indemnify and hold RimaTech, its directors, officers, employees, and affiliates harmless from and against any claims, demands, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:

Your violation of these Terms and Conditions.
Your violation of any rights of a third party.

RimaTech reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You shall cooperate with RimaTech in asserting any available defenses.

Granting Rights to the Platform

We aim to provide a seamless and efficient experience for both buyers and sellers and other users, enabling them to interact in a transparent and secure environment.

Platform Limitations and Modifications

While we strive to provide uninterrupted and reliable services, RimaTech acknowledges that technical issues, maintenance, and occasional downtime may occur. We reserve the right to make changes, improvements, or modifications to the platform at any time, including adding or discontinuing features, without prior notice. Listing Property on the Platform

Property listings on Realty.com.cy can be submitted by various entities including Licensed and Registered Real Estate Agents in Cyprus, Real Estate Developers, Property Management Companies, Real Estate Holding Companies, and other legitimate owners and intermediaries. Users of the platform can create listings for properties they own or represent, including residential, commercial, and other types of real estate.

Accuracy of Property Information

RimaTech aims to provide accurate and up-to-date information regarding properties listed on our platform. However, as property listings come from various sources, we cannot guarantee the accuracy, completeness, or authenticity of all information provided. Users are encouraged to verify the details of any property of interest through additional means, such as direct communication with the property's representative or conducting due diligence.

Verification of Property Details

RimaTech does not act as a Licensed and Registered Real Estate Agent and relies on property offers provided directly by users. As such, property listings are created and managed by users, and RimaTech does not conduct in-depth verification of each property's details. Users submitting property listings are responsible for ensuring the accuracy and authenticity of the information they provide. RimaTech reserves the right to review and verify listings for compliance with our platform's guidelines and relevant laws, but we recommend users exercise caution and due diligence when considering property listings.

User's Exercise of Due Diligence

Users acknowledge and understand that while Realty.com.cy strives to provide a comprehensive platform for property listings, the accuracy and authenticity of user-submitted property listings cannot be guaranteed. Users are advised to exercise due diligence, verify property information, and assess the reliability of any property offers or opportunities listed on the platform. Users' Responsibility

Users acknowledge and agree that RimaTech and its licensors retain all rights, title, and interest in the platform's content. Unauthorized reproduction, distribution, or modification of any platform content without prior written consent from RimaTech is strictly prohibited.

User-Generated Content Ownership

Users who contribute content to RimaTech's platform, including property listings, reviews, comments, and other forms of user-generated content, retain ownership of their respective contributions. However, by submitting content, users grant RimaTech a non-exclusive, royalty-free, worldwide, and perpetual license to use, reproduce, modify, adapt, publish, translate, and distribute the content for the purpose of operating, promoting, and improving the platform's services.

Copyright and Trademark Protections

RimaTech respects the intellectual property rights of others and expects its users to do the same. Users are prohibited from uploading, sharing, or otherwise using content that infringes upon the copyright, trademark, or other intellectual property rights of third parties. - Engaging in spam, unsolicited advertising, or any form of commercial solicitation.
- Sharing personal contact information, sensitive data, or financial information through the platform's public areas.

- Illegal, threatening, or promoting violence or harm to others.

Reporting of illegal or harmful activities to law enforcement authorities.
Pursuit of legal remedies for damages caused by the violation.

Reporting Violations

Users are encouraged to report any violations of the code of conduct, prohibited activities, or inappropriate behavior to RimaTech's support team. Reports should include relevant details and evidence to facilitate the investigation and resolution process. RimaTech is committed to maintaining a safe and respectful environment for all users and will take appropriate actions in response to reported violations.

12. Dispute Resolution

Dispute Resolution Process

In the event of any disputes, controversies, or claims arising out of or in connection with the use of RimaTech's platform, users are encouraged to first attempt to resolve the matter amicably through direct communication with the involved parties.
If a resolution cannot be reached through direct communication, users are required to submit a formal written complaint to RimaTech's customer support team, providing all relevant details and supporting evidence in accordance with our Complaints Policy.

Arbitration and Mediation

If the parties are unable to resolve the dispute through direct communication and the formal complaint process, both parties agree to attempt to resolve the dispute through mediation. The mediation process shall be conducted in accordance with the rules of a recognized mediation institution or mediator mutually agreed upon by both parties.
If mediation is unsuccessful or not pursued by the parties, any unresolved disputes shall be referred to and finally resolved by arbitration under the rules of a recognized arbitration institution or arbitrator mutually agreed upon by both parties.
The arbitration proceedings shall be conducted in the English language and shall take place in the Republic of Cyprus, in accordance with the applicable rules and regulations.The arbitration award shall be final and binding on both parties and may be enforced in any court having jurisdiction.

Mediation and Arbitration Institutions:

For mediation and arbitration purposes, the parties may agree upon recognized mediation institutions or arbitrators. In the absence of a mutual agreement, the mediation or arbitration process shall be conducted under the rules of mediation and arbitration institutions commonly accepted within the Republic of Cyprus.

Costs and Procedures:

The costs and procedures associated with mediation and arbitration shall be borne by the parties in accordance with the rules of the selected mediation or arbitration institution. The parties shall share the costs equally unless otherwise determined by the mediation or arbitration institution.

Waiver of Class Actions:

By agreeing to these Terms and Conditions, users waive their right to participate in any class action lawsuit or class-wide arbitration related to disputes arising out of or in connection with the use of RimaTech's platform.

Opt-Out Right:

Users have the right to opt out of the mediation and arbitration provisions within 30 days of accepting these Terms and Conditions. To exercise this right, users must notify RimaTech in writing of their decision to opt out. Opting out of these provisions will not affect any other aspects of these Terms and Conditions.

13. Limitation of Liability

Disclaimer of Warranties

RimaTech's platform is provided on an "as is" and "as available" basis, without any warranties or representations of any kind, whether express or implied. RimaTech disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Use at Your Own Risk:

Users acknowledge and agree that their use of the platform is at their own risk. RimaTech does not guarantee the accuracy, security, or uninterrupted availability of the platform. While we strive to provide a reliable and secure experience, technical issues, maintenance, and downtime may occur. Users are advised to exercise caution and discretion when relying on any information or content available on the platform.

Limitation of Liability

In no event shall RimaTech, its directors, officers, employees, or affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, or other intangible losses, arising out of or in connection with the use of the platform.
RimaTech's liability to users for any claim arising out of or in connection with the platform shall be limited to the fees paid by the user to RimaTech, if applicable.
Users acknowledge and agree that RimaTech shall not be responsible or liable for the conduct of any platform’s users, third-party users, or external links on the platform.
Users acknowledge that RimaTech does not control the accuracy or authenticity of user-generated content or property listings on the platform. Users are advised to exercise due diligence and verify information independently before making any decisions based on the platform's content.
RimaTech does not guarantee the security or privacy of user data and communications on the platform. Users should take appropriate measures to protect their personal information and exercise caution while interacting with other users and third parties through the platform.
RimaTech shall not be liable for any damages or losses resulting from unauthorized access to user accounts, data breaches, or other security incidents. Users are responsible for maintaining the security of their account credentials and notifying RimaTech of any suspicious activities.
RimaTech does not endorse, warrant, or guarantee the quality, accuracy, legality, or suitability of third-party services or links available through the platform. Users are advised to review the terms and conditions and privacy policies of third-party services before engaging with them. Any transactions or interactions with third parties are solely between users and those third parties, and RimaTech shall not be liable for any resulting damages or disputes.
Users acknowledge and agree that any content, information, or advice obtained through the platform is used at their own discretion and risk. RimaTech shall not be held liable for any consequences arising from reliance on such content, information, or advice.
Nothing in these Terms and Conditions shall limit or exclude liability for death or personal injury resulting from negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

a. Users agree to indemnify and hold RimaTech, its directors, officers, employees, and affiliates harmless from and against any claims, demands, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:

User-generated content submitted to the platform that infringes upon the rights of third parties or violates applicable laws.
User's use of the platform in a manner that violates these Terms and Conditions or any applicable laws.
User's engagement in fraudulent, deceptive, or malicious activities on the platform.
User's violation of the rights of other users or third parties through their interactions or transactions on the platform.
Legal disputes, including intellectual property disputes, defamation claims, or contractual disputes, arising from the user's use of the platform or user-generated content.
User's failure to fulfill their obligations as a buyer, seller, or intermediary in a property transaction facilitated through the platform.
Any breach of representations or warranties made by the user in these Terms and Conditions.

Defense Against Claims:

b. RimaTech reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the user. Users shall cooperate with RimaTech in asserting any available defenses.

c. Users acknowledge and agree that the obligations of indemnification in this clause shall survive the termination or expiration of these Terms and Conditions and their use of the platform.

15. Termination and Suspension

Grounds for Account Suspension or Termination

RimaTech reserves the right to suspend or terminate a user's account without prior notice if it believes, in its sole discretion, that the user has violated these Terms and Conditions or engaged in any prohibited activities. Grounds for suspension or termination include but are not limited to:

Breach of these Terms and Conditions
Violation of applicable laws or regulations
Use of the platform for fraudulent or malicious purposes
Violation of the rights of other users or third parties
Any activity that harms the reputation of RimaTech or the platform

Process of Suspension or Termination:

Upon identifying potential violations, RimaTech may take the following steps as part of the suspension or termination process:

Investigation: RimaTech may conduct an internal review to assess the nature and severity of the alleged violation.
Notice to User: If a violation is confirmed, RimaTech may provide the user with notice of the violation, including details of the alleged misconduct.
Opportunity for Resolution: RimaTech may offer the user an opportunity to provide an explanation or take corrective action within a specified timeframe.
Decision: Based on the investigation and any response from the user, RimaTech will make a determination regarding suspension or termination.
Notification: The user will be notified of the decision to suspend or terminate their account and the reasons for such action.

Resolution Process:

If a user believes that their account has been wrongly suspended or terminated, they can contact RimaTech's customer support for further clarification and resolution. RimaTech will review the matter and consider any additional information provided by the user before making a final determination.

Effect of Suspension or Termination:

Upon account termination or suspension, the user's access to the platform will be immediately revoked, and the user will no longer be able to access their account or the platform's services. Any user-generated content submitted to the platform may be removed and deleted at RimaTech's discretion.

Users acknowledge and agree that RimaTech's decision regarding account suspension or termination is final and binding.

16. Governing Law and Jurisdiction

Applicable Law for Resolving Disputes

a. These Terms and Conditions, and any disputes arising out of or in connection with them, shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of laws principles.

Jurisdiction for Legal Actions

b. Any legal actions, suits, or proceedings arising out of or relating to these Terms and Conditions shall be brought exclusively in the courts of Cyprus. The parties hereby consent to the personal jurisdiction of such courts and waive any objections to the exercise of jurisdiction by such courts on the grounds of venue or forum non conveniens.

c. Users acknowledge and agree that any legal actions or disputes involving RimaTech or the platform shall be subject to the exclusive jurisdiction of the courts of Cyprus.

17. Changes to Terms and Conditions

Right to Modify Terms

a. RimaTech reserves the right to modify or revise these Terms and Conditions at any time, at its sole discretion. Users may or may not be notified of any changes by posting the updated version of these Terms and Conditions on the platform. Continued use of the platform after such changes will constitute your acceptance of the revised Terms and Conditions, hence you are encouraged to periodically review these Terms and Conditions to stay informed of any updates or modifications. In case you do not agree with the current or updated version of the Terms and Conditions, please refrain from using the platform and/or request your account to be deleted through the Cabinet.

RimaTech may also choose to notify users of material changes to these Terms and Conditions through electronic means or other forms of communication. Your continued use of the platform after such notifications indicates your acceptance of the revised Terms and Conditions.

a. If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, it will not affect the validity, legality, or enforceability of the remaining provisions. The invalid provision will be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.
